1. Overview

DailyDealHere.com (“DailyDealHere,” “we,” “us,” or “our”) operates an e-commerce ecosystem through a network of shopping apps, websites, and digital platforms — including dailydealhere.com and any affiliated sites we may launch in the future (each a “Site,” collectively the “Sites”).

Our Platform serves three groups:

• Consumers & Shoppers — individuals looking for verified coupon codes, brand deals, and savings.
• Influencers & Creators — social media content creators who collaborate with brands on sponsored campaigns.
• Brands & Advertisers — companies running promotional campaigns through our network.

Anyone who accesses or uses our Platform is referred to as a “User.” If you use the Platform on behalf of a company or other legal entity, “you” means that entity, and you represent that you are authorized to bind it to these Terms.

2. Acceptance of Terms

By accessing or using the Sites or any services offered through them (collectively, the “Services”), you agree to be legally bound by these Terms of Use and our Privacy Policy. Our Privacy Policy is incorporated into these Terms by reference.

If you do not agree to these Terms, please do not use our Sites or Services.

Different sections of these Terms may apply differently depending on how you use the Platform — as a shopper, an influencer, or a brand. Please read all sections carefully.

Content submitted by other users (including articles and consumer guides) is user-generated. We are not the author of that content and expressly disclaim all warranties regarding its accuracy or validity. You rely on user-submitted content at your own risk.

3. Modifications to These Terms

DailyDealHere.com reserves the right to modify or discontinue the Platform, Services, or these Terms at any time without prior notice. Updated Terms will be posted on this page with a revised “Last Updated” date.

Your continued use of the Platform after any modification constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using our Platform and Services.

4. Account Registration & Eligibility

Eligibility

By creating an account, you confirm that you are at least the age of majority in your country, state, or province of residence. If you are a minor, you must have the consent of a parent or legal guardian. You are solely responsible for ensuring your use of the Platform complies with all laws in your jurisdiction.

Creating an Account

To access certain features, you must register for an account (“Account”). You may do so by:

• Email registration — Follow the on-site prompts. You agree to provide accurate, current, and complete information and to keep it updated at all times.
• Social login — You may connect via third-party social networks (e.g., Facebook, Instagram, Google). By doing so, you confirm you have the right to share that login information with us and that it does not violate any third-party terms.

5. Intellectual Property Rights

Your Content

When you post content on the Platform (“Content”), you represent and warrant that:

• You own the Content or have all necessary rights to post it and grant the licenses described below.
• Your Content does not infringe any third party’s copyrights, patents, trademarks, trade secrets, privacy rights, or other intellectual property rights.
• If your Content is copyrightable, you are the owner of all copyright rights to it.

License You Grant to DailyDealHere.com

By posting Content on the Platform, you grant DailyDealHere.com a worldwide, irrevocable, perpetual, non-exclusive, royalty-free, transferable license (with the right to create derivative works) to use, edit, copy, adapt, modify, distribute, display, and otherwise exploit that Content on the Platform in any media now known or developed in the future.

We do not claim ownership of your Content. This license does not permit us to sublicense your Content to third parties outside the Platform unless you separately authorize it.

DailyDealHere.com’s Intellectual Property

All graphics, logos, page headers, button icons, scripts, and service names on the Sites are trademarks or trade dress of DailyDealHere.com or its affiliates. You may not use our trademarks without our prior written permission. All site content — including text, design, graphics, interfaces, and code — is protected by U.S. and international copyright law.

DMCA — Copyright Infringement Notices

If you believe your copyrighted work has been infringed on our Platform, send a written notice to [email protected] that includes:

1. A physical or electronic signature of the copyright owner or authorized agent.
2. Identification of the copyrighted work claimed to have been infringed.
3. Identification of the infringing material and its location on our Site.
4. Your contact information (address, telephone number, email).
5. A good-faith statement that the use is not authorized by the copyright owner.
6. A statement, under penalty of perjury, that the information in your notice is accurate and you are authorized to act on behalf of the copyright owner.

6. Social Media Postings

You are solely responsible for all social media postings you make in connection with the Platform. You represent and warrant that your postings:

• Comply with all applicable laws, including FTC guidelines on sponsored endorsements.
• Do not infringe any third party’s intellectual property rights.
• Are truthful and not misleading.

DailyDealHere.com assumes no responsibility for compliance with agreements between users, legal obligations a user may owe to third parties, or any user’s compliance with applicable laws. We reserve the right to remove or disable access to any Account, profile, or Content that we determine, in our sole discretion, violates these Terms or is otherwise harmful.

7. No Endorsement of Brands or Influencers

DailyDealHere.com does not refer, endorse, or recommend any specific Brand or Influencer. We do not edit, monitor, or guarantee communications between users or the accuracy of Content posted on our Platform.

You are responsible for independently verifying the identity and credentials of any other user you engage with. Any legal claims arising from another user’s actions must be directed at that individual user — not at DailyDealHere.com. You agree to indemnify and hold us harmless from any liability arising from such third-party actions.

8. User Conduct & Compliance

You agree to use your Account responsibly and to respect the privacy of other users. You must not use the Platform to:

• Sublicense, sell, rent, lend, or distribute the Platform or its intellectual property to any third party.
• Violate any applicable law or third-party intellectual property right.
• Upload or transmit malware, viruses, or any malicious or harmful code.
• Reverse-engineer, decompile, or disassemble the Platform.
• Build a competing or substantially similar product or service using our Platform.
• Engage in spam, unsolicited advertising, or any other form of internet abuse.
• Create a false identity or impersonate any person or entity.
• Harvest, collect, or store other users’ personal information without their express consent.
• Post content that is abusive, harassing, obscene, defamatory, sexually explicit, hateful, or otherwise objectionable.
• Engage in any activity that harms the reputation or goodwill of DailyDealHere.com.

Communications & Messaging

All communications you send through the Platform — including emails, texts, and social messages — must comply with the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and all other applicable federal, state, and international laws. You must not contact any person who has opted out, unsubscribed, or placed themselves on a do-not-contact list.

Advertisements

The Platform may display advertisements on behalf of DailyDealHere.com or third-party advertisers. We are not responsible for the content, privacy practices, or websites of any advertisers. Any transactions you complete with advertisers are solely between you and the advertiser.

9. Limited License to Users

Subject to your compliance with these Terms, DailyDealHere.com grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable right to:

• Access and use the Platform and Services made available to you.
• View Content that you are permitted to access.

You may not copy, adapt, modify, distribute, license, sell, transfer, publicly display, broadcast, or otherwise exploit the Services or any other user’s Content except as expressly permitted in these Terms. No other licenses or rights are granted by implication.

10. Influencer Compensation

Payment Terms

DailyDealHere.com may compensate certain users for approved Content submissions based on a proprietary Influencer Score algorithm. If payments to you exceed $600.00 in a calendar year, you must provide a valid U.S. Tax Identification Number (Social Security Number or EIN).

Exclusive License for Paid Content

As a condition of payment, you agree that all Content you submit has not been previously published on any other website or application and is created exclusively for the DailyDealHere.com Platform. By submitting paid Content, you grant DailyDealHere.com a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, copy, modify, adapt, publish, distribute, and exploit that Content in any form or medium now known or developed in the future.

Publishing paid Content elsewhere without our prior consent constitutes a material breach of these Terms and entitles DailyDealHere.com to seek damages, including recovery of all amounts paid to you.

Independent Contractor

Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship between you and DailyDealHere.com. You are solely responsible for all taxes related to compensation you receive through the Platform.

11. Confidentiality

“Confidential Information” means any non-public information disclosed by one party to another through the Platform — whether in writing, orally, or by inspection — that is not otherwise publicly known.

You agree to:

• Not disclose Confidential Information to any third party without prior written consent, except to those with a legitimate need to know who are bound by equivalent confidentiality obligations.
• Not use Confidential Information for any purpose beyond what is necessary to fulfill your obligations under these Terms.
• Take all reasonable measures to protect the secrecy of Confidential Information.

If you are legally required to disclose Confidential Information, you must provide prompt written notice to the disclosing party and limit disclosure to the minimum extent required by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless DailyDealHere.com, its subsidiaries, affiliates, and their respective employees, officers, directors, licensors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Platform or Services.
• Your Content.
• Your breach of these Terms.
• Your violation of any applicable law or third-party rights.

DailyDealHere.com reserves the right to assume exclusive control of any matter subject to indemnification, and you agree to cooperate fully with our defense of such claims. You may not settle any such claim without our prior written consent.

13. Disclaimers & Limitation of Liability

As-Is Disclaimer

The Platform and Services are provided “as is” and “as available” without warranty of any kind, express or implied. To the maximum extent permitted by law, DailyDealHere.com expressly disclaims all warranties, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose.
• Warranties against infringement of third-party intellectual property rights.
• Warranties regarding errors, interruptions, delays, or omissions in the Services.
• Warranties regarding the accuracy or completeness of any data.

Limitation of Liability

To the maximum extent permitted by applicable law, DailyDealHere.com and its affiliates shall not be liable for any indirect, incidental, special, exemplary, or consequential damages — including lost profits, data loss, goodwill loss, service interruption, computer damage, or system failure — arising out of or in connection with your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.

Your use of the Platform is entirely at your own risk.

Time Limit on Claims

Any cause of action arising out of or related to the Services must be commenced within one (1) year after it accrues. Claims brought after this period are permanently barred.

14. Dispute Resolution

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of our Platform will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Supplementary Procedures for Consumer-Related Disputes. The Federal Arbitration Act governs this section.

Either party may still seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.

Arbitration Location

Unless mutually agreed otherwise, arbitration will take place in Los Angeles County, California, or by video conference if available. For claims under $10,000, the arbitration will proceed based on written submissions unless a hearing is requested.

No Class Actions

You and DailyDealHere.com agree that each party may only bring claims against the other in an individual capacity — not as a plaintiff or class member in any class or representative proceeding. The arbitrator may not consolidate more than one claim or preside over any class proceeding.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. You consent to the personal jurisdiction of courts located in Los Angeles, California for any actions not subject to arbitration.

Opt-Out of Arbitration

You may opt out of the arbitration and class action waiver by sending written notice to us within 30 days of the date you first registered for an account. Your notice must include your account username, full name, address, telephone number, email address, and a clear statement that you wish to opt out. Send opt-out notices to [email protected].

15. General Provisions

Termination

DailyDealHere.com may, at its sole discretion and without liability, terminate these Terms or your access to the Platform at any time, with or without cause. Upon termination, we will remit any funds we reasonably determine are owed to you. You may cancel your Account at any time by contacting us. Note that cancellation does not require us to delete Content you have previously posted.

Assignment

You may not assign or transfer these Terms without our prior written consent. DailyDealHere.com may assign these Terms at its sole discretion without restriction.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be enforced to the maximum extent permitted by law.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative of DailyDealHere.com.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between DailyDealHere.com and you regarding the Platform and Services. They supersede all prior oral and written understandings.

Notices

We may provide general notices by posting on the Sites or by email to the address associated with your Account. You are responsible for keeping your contact information current. For questions or notices, contact us at [email protected].

International Users

DailyDealHere.com makes no representation that the Platform is appropriate for use outside the United States. If you access the Platform from outside the U.S., you do so at your own risk and are solely responsible for compliance with all local laws and regulations.

California Residents

Under California Civil Code § 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 N. Market Blvd., Suite S-202, Sacramento, CA 95834, or by phone at (800) 952-5210.

Language

The original, legally binding version of these Terms is written in English. In the event of any conflict between the English version and any translation, the English version controls.
